1. ELIGIBILITY: The Kits.AI $1,500 AI Voice Competition (the "Competition") is open globally to entrants who are 13 years of age or older as of the date of entry, and where it is legal in their home country to participate in such contests. The Competition is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Employees of Arpeggi Labs, its parent company, subsidiaries, affiliates, suppliers, and agencies, and their immediate family members and persons living in their household are not eligible to enter the Competition.

2. SPONSOR: The Competition is sponsored by Arpeggi Labs, Inc. located at 548 Market St

3. AGREEMENT TO OFFICIAL RULES: Participation in the Competition constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. ENTRY PERIOD: The Competition begins on July 11, 2023 at 12:00 AM Pacific Time (the "Entry Start") and ends on August 1, 2023 at 11:59 PM PT (the "Entry Period"). Entries submitted before the Entry Start or after the Entry Period will not be eligible.

5. HOW TO ENTER: To enter, create a unique video using a Kits.AI voice, upload it to YouTube with "Kits.AI" in the video title, include a link to the Kits.AI used and the phrase "Made with Kits.AI" in the video description, and submit it before the Entry Period. Entrants may only use lawful means to obtain entries and are solely responsible for their own entries. Entries using bot generation or any other unauthorized third-party software to submit multiple entries will be disqualified.

6. WINNER SELECTION: Following the close of the Entry Period, up to three (3) winners will be selected by a panel of judges chosen by Kits.AI. The decisions of the judges are final and binding. Kits.AI reserves the right to select winners based on any criteria it deems appropriate.

7. WINNER NOTIFICATION: The potential winner(s) will be notified by Discord direct message. If a potential winner does not respond within the timeframe stated in the notification message, or is unable to be reached via Discord, the Sponsor may select an alternate potential winner in his/her place.

8. PRIZES: The Competition has a total of $1,500 in prizes divided as follows:

• The entrant with the video that accumulates the most views by August 1st, 2023 will be awarded $500.

• The Kits.AI team will select another winner who will receive $500.

• The voice creators used in the winning videos (the video with the most views and the video chosen by the Kits.AI team) will each receive $250.

Please note that a single winner might win in one, two, or all three categories at the Sponsor’s discretion. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize with another prize of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winners are responsible for taxes and any and all other costs and expenses not listed above.

9. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Competition, entrants agree to release and hold harmless the Sponsor, and its parent company, subsidiaries, affiliates, and their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Competition or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Competition; (b) technical errors; (c) printing errors; (d) errors in the administration of the Competition or the processing of entries; or (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Competition.

10. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Competition or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Competition, shall be governed by, and construed in accordance with, the laws of California, without giving effect to any choice of law or conflict of law rules.

BY ENTERING THIS COMPETITION, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.
