1. Eligibility:

The Kits.ai Song Competition (the "Competition") is open globally to entrants who are 13 years of age or older as of the date of entry, and where it is legal in their home country to participate in such contests. The Competition is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Employees of Arpeggi Labs, Inc ("Sponsor"), and their immediate family members (spouses, parents, children, siblings, and their respective spouses) and those living in the same household of each are not eligible to enter or win. Void where prohibited by law.

2. How to Enter:

The Competition begins on October 10th, 2024, at 12:00 AM Eastern Time ("ET") and ends on October 28th, 2024, at 11:59 PM ET (the "Competition Period").

To enter, during the Competition Period:

• Create a unique song using at least one Kits AI voice.

• Share the song on a public social media account (Instagram or TikTok) using the hashtag #kitsaisong, tagging and following @kits.ai in the post.

Your social media account must be set to public for the duration of the Competition Period and the winner announcement period. Limit one (1) entry per person during the Competition Period.

3. Winner Selection and Notification:

On or about October 28th, 2024, two (2) winners will be selected by a panel of Kits.ai employees based on the following criteria:

• Creativity and originality of the song (50%)

• Use of Kits.ai voices (25%)

• Overall impression and engagement on social media (25%)

The potential winners will be notified via direct message on the social media platform used for entry. If a potential winner cannot be contacted within three (3) days of the first notification attempt, or if the potential winner is found to be ineligible or not in compliance with these Official Rules, an alternate winner may be selected.

4. Prizes:

Two (2) First Place Prizes will be awarded, each consisting of:

• A cash prize of $500 USD.

• A one (1) year subscription to Kits.ai Premium (ARV: $576 USD).

The total approximate retail value ("ARV") of all prizes is $2152 USD.

5. General Conditions:

By entering the Competition, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects. Sponsor reserves the right to disqualify any entrant who violates these Official Rules or tampers with the entry process. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected entries, which will be disqualified.

In the event of a dispute as to the identity of an entrant, the authorized account holder of the social media account used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Sponsor reserves the right to cancel, suspend, or modify the Competition if it cannot be completed as planned due to any unforeseen circumstances, including but not limited to fire, flood, natural disaster, strike, technical failure, or any other factor beyond Sponsor’s reasonable control.

6. Release and Limitations of Liability:

By entering the Competition, entrants release and hold harmless Sponsor, its parent, subsidiaries, affiliates, advertising and promotion agencies, and their respective directors, officers, employees, and agents from and against any and all claims, damages, expenses, and liabilities (including reasonable attorneys' fees) arising out of or relating to their participation in the Competition or acceptance, possession, or use of any prize.

Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Competition, or in the announcement of the prizes.

BY ENTERING THIS COMPETITION, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.
